§ 1 Scope of Application
These General Terms and Conditions ("Terms") govern the contractual relationship between Mobius Code GmbH, Berg-am-Laim-Str. 64, 81673 München, Germany ("Provider") and users ("User") of the web application Vendobyte accessible at vendobyte.com and its subdomains.
These Terms apply exclusively. Any deviating, conflicting, or supplementary terms of the User shall not become part of the contract unless the Provider has expressly agreed to their validity in writing.
These Terms apply to both consumers (§ 13 BGB) and entrepreneurs (§ 14 BGB). Consumer-specific rights are additionally governed by applicable statutory provisions.
§ 2 Description of Services
Vendobyte is a browser-based platform offering AI-powered video and audio processing tools presented as interactive "vending machines". Services currently include:
- Automated caption and subtitle generation from uploaded video files
- Audio extraction, mixing, and replacement; video transcoding and metadata lookup
- Social media post composition based on video content
- Additional AI-powered media processing tools as offered from time to time
The Provider reserves the right to modify, extend, or discontinue individual features at any time. The User has no claim to the continued availability of any specific feature. Planned maintenance will be communicated with reasonable advance notice where possible.
§ 3 Contract Formation & Contract Language
A contract for the use of free features is concluded by accessing and using the service. A contract for paid features is concluded when the User completes the payment process (clicking "Order with obligation to pay" and confirming payment via PayPal) and the Provider confirms acceptance via on-screen confirmation or email.
The contract language is German. These Terms are provided in German (the legally binding version) and in English (a non-binding convenience translation); in the event of any discrepancy or ambiguity, the German version prevails.
After a paid order, the Provider sends an order confirmation by email (a durable medium) summarising the service ordered, the total price including VAT, and the User's consent to immediate performance. The User should retain this confirmation together with these Terms for their own records.
§ 4 Prices & Payment
Prices for paid features are displayed at the time of purchase. All prices are quoted in Euros (EUR) and include applicable value-added tax (VAT) where required by law.
Payment is processed exclusively via PayPal. By selecting a paid feature, the User agrees to PayPal's terms of service and authorises the charge. The Provider does not store payment card data.
In the event of a payment failure, the processing job will not be started or will be cancelled. The Provider is not liable for failures caused by the User's payment provider.
§ 5 Right of Withdrawal for Consumers
Consumers have a statutory right of withdrawal of 14 days for contracts concluded at a distance. However, pursuant to § 356 Abs. 5 BGB, the right of withdrawal expires prematurely for contracts for digital content (such as AI-generated video processing output) if:
- The Provider has begun performance of the contract with the User's express prior consent, and
- The User has acknowledged that their right of withdrawal will be lost once performance has started.
By confirming the purchase and requesting immediate processing, the User expressly consents to early performance and acknowledges the resulting loss of the right of withdrawal upon commencement of processing.

§ 6 User Obligations & Acceptable Use
The User agrees to:
- Only upload content to which they hold the necessary rights or permissions
- Not upload content that is unlawful, harmful, defamatory, pornographic, or violent
- Not attempt to reverse-engineer, circumvent, or abuse the service infrastructure
- Not use automated scripts, bots, or scrapers without prior written consent
- Ensure that any personal data of third parties contained in uploaded files is processed lawfully
- Comply with all applicable laws, including copyright, data protection, and export regulations
The Provider reserves the right to suspend or terminate access and to refuse service without notice if these obligations are breached.
§ 7 Intellectual Property
The User retains all rights to content they upload. By uploading content, the User grants the Provider a limited, non-exclusive, royalty-free licence to process and store the content solely for the purpose of providing the requested service.
All intellectual property rights in the Vendobyte platform, its design, software, and underlying AI models remain exclusively with the Provider and its licensors.
The User is solely responsible for ensuring that content they upload does not infringe any third-party intellectual property rights.
§ 8 Availability & Limitation of Liability
The Provider endeavours to maintain a high level of service availability but does not guarantee uninterrupted access. Scheduled maintenance, technical issues, or third-party failures may temporarily affect availability.
The Provider's liability is unlimited for damages caused by intent or gross negligence, for damages resulting from injury to life, body or health, and for mandatory statutory liability (e.g. under the German Product Liability Act).
For simple negligence, liability is limited to foreseeable, typical damage and only applies where a material contractual obligation (Kardinalpflicht) has been breached. Liability for indirect damages, loss of profit, or loss of data beyond what is technically avoidable is excluded to the extent permitted by law.
§ 9 Refund Policy
If a paid processing job fails due to a technical fault on the Provider's side, the User is entitled to a full refund of the amount paid for that job. Refunds are processed via the original payment method (PayPal) within 14 days.
No refund is due if processing fails due to incompatible or corrupt files supplied by the User, or if the User voluntarily abandons the process after successful completion.
§ 10 Amendments to These Terms
The Provider reserves the right to amend these Terms at any time. Users will be notified of material changes via the website. Continued use of the service after the effective date of any change constitutes acceptance of the updated Terms.
§ 11 Governing Law & Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
If the User is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is Munich, Germany. For all other users, including consumers, mandatory statutory jurisdiction rules apply.
§ 12 Severability Clause
Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by the applicable statutory rule or, if none exists, by the provision that most closely reflects the economic intent of the parties.
